Hey music producer Achickwitbeatz, back with the Music Biz Brief. First up, Universal Music Group's board of directors unanimously rejected Bill Ackman's Pershing Square's $64 billion takeover bid. They stated the undervalued deal wasn't in the best interest of Universal, its shareholders, artists, songwriters, employees, and other stakeholders. Pershing Square's offer was presented as a solution to the stock's performance due to uncertainty around ownership structure and its stake in Spotify.

However, Universal says it's implemented steps to rectify those concerns. Then, a day after that, Bill Ackman wanted to dump those shares, so Universal bought its stock back directly from Bill Ackman's Pershing Square for $290 million, following the former's rejection of the latter's takeover bid. So after the repurchase, shares dropped 6% during Euronext Amsterdam's early morning trades. Universal plans to use the repurchased shares to meet obligations under its 2022 Global Equity Plan,

and or reduce its share capital. It'll be interesting to see what happens now that all this drama

Indie electronic music distributor and services provider LabelWorx has launched Elevate to provide $10 million in advanced royalties to a select group of music labels. While the $10 million has already been set aside for the first round of the program, $25 million total has been committed. Applications are now open on the company's website. Suno wants a federal court to keep the exact number of audio files it trained its gen AI model on a secret for fear of “significant competitive harm to Suno.” The filing was a response to a request by Inner City Press to unseal the training data evidence in the Universal Music Group and Sony Music Entertainment copyright lawsuit against the AI music company. Quite interesting that they're worried about their IP and no one else's.

And 2 Live Crew's win, regaining their copyrights, was reversed due to a member's bankruptcy, rendering the group's termination notice void. Under Section 203 of the U.S. Copyright Act, recording artists can reclaim copyrights they signed away after 35 years, provided a majority of them sign a termination notice. Out of the four members, Campbell, Ross, and Won’s heirs served the notice in 2020.

However, the appeals court ruled that Ross's signature didn't count because his termination interest was already absorbed into his bankruptcy estate when he filed chapter seven back in 2000. The group could potentially get around this by either handling the rights through Ross's bankruptcy estate, asking the case to be heard again by the full Eleventh Circuit, or petitioning the US Supreme Court. Hopefully, they can get that taken care of. SoundOn, TikTok's music distribution and promotion platform,

is beta testing a set of tools for indie labels looking to expand operations. Tools include sub-label management for multiple imprints, smoother catalog migration, cross-platform analytics, early eligibility for Spotify discovery mode, self-serve marketing tools, and more promotional support. Initially launched with a group of US partners, the beta is expected to expand internationally. In Mac rumors, Apple appears to be working on offering various Apple Music tiers.

Strings of code in the beta version of the Android app, spotted by tech analyst and Mac Rumors contributor Aaron Perris, revealed messages, “premium access required,” and “can't skip any more tracks,” both implying limitations for a free or cheaper version. Apple has consistently presented as vehemently against the free tier, so it's entirely possible that the strings could just be linked to something else, like radio stations. We'll have to see.

And finally, SoundExchange and the IFPI (International Federation of the Phonographic Industry) announced a new capability that allows ISRCs (International Standard Recording Codes) to be auto-assigned via immediate online registration. The new process checks the database to avoid duplication, then assigns and registers the ISRC in the database, making it accessible via public search. Alright, and that's it for the Music Biz.
